Leapfrog Platform Terms and Conditions

We are VaultUp Limited, a company registered in Hong Kong with number 77069021-000-09-24-0 and registered office at Unit 1603, 16F The L. Plaza, 367-375 Queen's Road Central, Sheung Wan, Hong Kong ("we", "us", "our" and "VaultUp"). We provide the Leapfrog platform available here: https://leapfrog-careers.com/ (the "Leapfrog Platform") and certain services and packages offered via the Leapfrog Platform (the "Leapfrog Services").

These are our Terms and Conditions for the Leapfrog Platform and the Leapfrog Services (our "Terms"). These Terms will apply to you as a user or recipient of the Leapfrog Platform and the Leapfrog Services ("you", "your", "their" and "User"). There are specific provisions in these Terms which apply to you when you are using the Leapfrog Platform and/or the Leapfrog Services as a mentor (the "Mentor"), and specific provisions which apply when you are using the Leapfrog Platform and/or the Leapfrog Services as a learner (the "Learner").

These Terms, together with our Privacy Policy, set out the rules which govern our relationship with you in relation to your use of the Leapfrog Platform and the Leapfrog Services. You will be asked to accept these Terms when you enter our Leapfrog Platform and when you select or purchase any of the Leapfrog Services. If you do not agree with these Terms, you will not be able to use the Leapfrog Platform or the Leapfrog Services.

These Terms are legally binding. They are important, so please read them carefully. You may want to print them out or save them on your device in case you ever want to come back to them in the future. They can also be found on our website.

Please remember that these Terms are not a complete list of all our (or your) rights or responsibilities, and there may be others under general law.

If you have any queries in relation to the Leapfrog Platform, the Leapfrog Services or these Terms, you can contact us.

Section 1: How The Leapfrog Platform Works

The Leapfrog Platform allows Learners to connect with Mentors so that Learners who are interested in developing their career or gaining new skills can receive, and the Mentors can provide, professional guidance and support. Learners will be able to request to connect with Mentors via the Leapfrog Platform and/or schedule a virtual meeting or class to obtain advice and guidance from the Mentor for the purpose of progressing the Learner's career or personal goals (a "Session"). Learners will also be able to submit their CV and cover letters for Mentors to provide edits and writing support (a "Credential Support").

The Leapfrog Platform also allows Users to engage in private messaging. Please be aware that internet transmissions may never be completely private or secure and that any message or information you send using the Leapfrog Platform may be read or intercepted by others.

The Leapfrog Platform is free for you to view and use. However, Learners may be required to pay a fee to book a Session or Credential Support in accordance with Section 3 below.

Section 2: Relationship Between Mentors And Learners

It is important to note that, if you agree to provide or receive mentoring or other services to or from another User using the Leapfrog Platform, you are creating a separate contract between you and the other User. We have no control over these services and are in no way responsible for these services, any Sessions, Credential Support or the other Users. We will use reasonable efforts to check that a Mentor has adequate experience to be advertised on the Leapfrog Platform. However, we have not and will not vet any of the Mentors. We do not undertake background checks on Mentors. You will need to make your own independent judgment about whether to engage with another User, and we disclaim all liability in respect of any other Users.

If you are a Mentor, you acknowledge that any information you receive from a Learner during a Session, Credential Support or otherwise through the Leapfrog Platform is that Learner's confidential information, and you should hold such information in strict confidence and shall not share such information with any third parties without the Learner's express consent. In addition, you acknowledge that any information, advice or guidance which you provide to a Learner during a Session, Credential Support or otherwise through the Leapfrog Platform may be freely used, shared or relied on by that Learner (at their discretion), and you are entitled to no further fee (other than the Fee in accordance with Section 3 below) in consideration of the Learner's use, disclosure or reliance on such information, advice or guidance.

Section 3: Payment Of Fees And Commission

Payment of Fees by Learners to Mentors via Leapfrog

The Mentor may, at their discretion, decide to charge the Learner a fee for a Session or a Credential Support (the "Fee"). In this case, the Mentor will determine the level of Fee they will charge. This Fee will be paid to Leapfrog after the completion of each Session and subsequently disbursed to the Mentor every month, minus Commission and refunds due to Refund Requests from a Learner.

Such Fee shall be inclusive of any applicable VAT and the Mentor is not entitled to charge VAT on top of the Fee. The Mentor shall be responsible for any taxes payable in relation to such Fee. In addition, the Fee shall be the full amount payable to the Mentor in consideration for the time, advice, guidance and information provided by them to a Learner during a Session or a Credential Support. The Mentor may choose, at their discretion, to offer discounts to the Fee. No further fees shall be payable by the Learner in respect of the advice, guidance and information it receives from the Mentor during the relevant Session or Credential Support.

The Learner shall pay the applicable Fee to book a Session or Credential Support with a Mentor. The relevant Fee will be made clear on the Leapfrog Platform at the point of booking the Session or Credential Support. Generally, the Fee must be paid in advance of the Session or Credential Support, and in accordance with any specific terms or instructions communicated via the Leapfrog Platform from time to time.

Payment of Commission by Mentors to Leapfrog

Where the Mentor has elected to charge a Fee, the Mentor must pay a commission to us as a percentage deduction from their applicable Fee (the "Commission"). We will use reasonable endeavours to communicate to the Mentor the level of Commission which we charge on a particular transaction, if appropriate. You acknowledge that we may decide to increase or otherwise change the Commission payable on transactions from time to time. Commission will be inclusive of VAT.

Refunds

If a Learner is unsatisfied with the delivery, advice, guidance or information received from a Mentor during a Session or Credential Support, they may request a refund of the Fee paid in respect of such Session or Credential Support in accordance with the instructions provided on the Leapfrog Platform from time to time (a "Refund Request").

The Mentor acknowledges that a Learner may be entitled to a refund of the Fee if the delivery, advice, guidance or information provided by them during a Session or Credential Support is not of satisfactory quality. The Mentor will be fully liable for such a refund and shall adhere to all refund terms and conditions set out in this Policy.

A Refund Request may only be made by individual Users who are using the Leapfrog Platform as a natural person and a consumer, and not any business Users. No Refund Requests from groups, clubs, businesses or organisations will be honoured.

To make a Refund Request, the Learner must submit a claim to us within 7 days of having attended the Session or received the Credential Support either:

  • submitting the request with the required information via the Learners' Corner on the Leapfrog Platform; or
  • by sending us an email containing details of the time and date that the Session or Credential Support took place, the relevant Mentor who was supposed to participate in the Session or Credential Support, and a reasonably detailed explanation of why the delivery, advice, guidance or information provided in the Session or Credential Support was not satisfactory.

Incomplete, illegible, misdirected or late claims will not be accepted, and it is the responsibility of the User to provide correct, up-to-date details when submitting their claim. We cannot be held responsible for participants failing to supply accurate information which affects their claim.

If we reasonably suspect that a Learner has breached any part of these Terms, their Refund Requests shall be rejected. Leapfrog reserves the right to review Refund Requests and shall have full autonomy over the deliberation and outcome of Refund Requests.

Payment Terms

The Fee and Commission must be paid in accordance with the instructions communicated via the Leapfrog Platform from time to time, through our third-party payment provider. This will involve the User registering an account with our third-party payment provider and linking such account to their Leapfrog Platform account (see Section 5 below). The Fee shall be transferred into the Mentor's third-party payment provider account shortly after the relevant Session or Credential Support has taken place. This Fee may be held with the third-party payment provider in case of refunds.

Learners may be unable to pay, and Mentors may be unable to receive, the Fee without successfully linking their account to our third-party payment provider's site. We are not liable for the processing or the handling of payments by our third-party payment provider. Such processing will be governed by the terms and conditions of that third-party provider.

We will always ask you to pay any applicable Fee and Commission directly through the Leapfrog Platform, using our third-party payment provider. We will not ask you to, and you should not, request or transfer any funds directly to another User via bank transfer, in cash or by cheque. You should not share your bank details on the Leapfrog Platform, and if you do so this is at your own risk, and we disclaim all liability in this respect. If a User asks for the Fee to be paid directly to the Mentor in a way which circumvents the Leapfrog Platform or Commission, you should report this to us immediately. This is a breach of our Terms and may result in the relevant User being removed from the Leapfrog Platform, their account being deleted, and any Commission being claimed from you directly.

Where you need or want to cancel a Session or Credential Support, or if the other User did not show up to the Session, you should refer to our Session and Credential Support Policy. Our Session and Credential Support Policy sets out when and if the Learner is entitled to a refund of the Fee and/or Commission in such cases.

It is important to note that, if a Mentor violates any terms of these Terms or the Mentor Code of Conduct, the Learner may be entitled to a full refund.

Note that we cannot accept or send payments to any bank accounts located in a sanctioned country. If you are the subject of government sanctions such as those applied by the government in the country where you live, you may not be able to receive or send the Fee or use the Leapfrog Platform.

Section 4: Using The Leapfrog Platform

You must be at least 18 years old or have parental consent to use the Leapfrog Platform.

You must use the Leapfrog Platform in compliance with all applicable laws, these Terms, our Session and Credential Support Policy and our Mentor Code of Conduct (if applicable). You are responsible for compliance with any applicable laws of the country from which you are accessing the Leapfrog Platform.

You must not record and/or disseminate any part of a Session.

The Leapfrog Platform is made available to you on a non-exclusive, non-transferable basis for your personal use only.

Unless this is permitted by us or required under applicable law, you cannot:

  • rent, lease, sub-license, loan, provide, or otherwise make available, the Leapfrog Platform in any form, in whole or in part, to any person;
  • copy, translate, merge, adapt, vary, alter or modify, the whole or any part of the Leapfrog Platform nor permit the Leapfrog Platform or any part of it to be combined with, or become incorporated in, any other programs;
  • disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the Leapfrog Platform nor attempt to do any such things;
  • collect or harvest any information or data from the Leapfrog Platform or our systems or attempt to decipher any transmissions to or from the servers running the Leapfrog Platform;
  • use the Leapfrog Platform in any way that could damage, disable, overburden, impair or compromise our systems or security, or interfere with our third party service providers;
  • access or interfere with another User or their account or information;
  • transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the Leapfrog Platform;
  • use the Leapfrog Platform in any way which is unlawful, fraudulent, malicious or detrimental to us or our business;
  • use the Leapfrog Platform in a way which is not expressly authorised by us, or which is inconsistent with these Terms, applicable law, the Session and Credential Support Policy or the Mentor Code of Conduct (where applicable); or
  • use the Leapfrog Platform in a way that violates prohibitions imposed by relevant sanctions.

Users can use the Leapfrog Platform for the purposes envisaged in Section 1, including to book a Session or Credential Support and/or conduct safe conversations for the purpose of progressing the Learner's career goals. We do not condone any behaviours whilst using the Leapfrog Platform which may put people's safety, privacy or authenticity at risk. As such, in addition to the provisions above, you must not use the Leapfrog Platform for any of the following:

  • to threaten violence against any individual or group of people, or for the glorification of violence;
  • to threaten or promote terrorism or violent extremism;
  • to promote violence against, threaten or harass others on the basis of race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability or serious disease;
  • to promote or encourage suicide or self-harm;
  • to share content that is excessively gory or violent or which depicts anything of a sexual nature;
  • any form of child sexual exploitation;
  • any unlawful purpose or in furtherance of illegal activities (for example, selling, buying or facilitating transactions in illegal goods or services);
  • to publish or post other people's private information (e.g. their home phone number and address) without their consent; or
  • for any other purpose other than those set out in Section 1.

You are responsible for your use of the Leapfrog Platform and for any content you provide within the Leapfrog Platform. You should only provide content that you are comfortable sharing with others, and which is in line with the purpose of the Leapfrog Platform (i.e. to further the Learner's career and professional growth). We reserve the right, but do not assume the obligation, to investigate any violation of these Terms. We may investigate violations and may remove, disable access to, or modify any content that violates these Terms or the Mentor Code of Conduct (where applicable). We may delete your account if you are in breach of these Terms or the Mentor Code of Conduct (in accordance with Section 10 below).

If you see or experience any content or use of the Leapfrog Platform which you believe breaks these Terms or the Mentor Code of Conduct, you should report this to us immediately. We will use reasonable efforts to monitor and control the content posted via the Leapfrog Platform, but we cannot take responsibility for such content. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications shared via the Leapfrog Platform. Any use or reliance by you of any content or materials shared by another User via the Leapfrog Platform is at your own risk.

Further, as mentioned in Section 2 above, we do not endorse any Users and you will need to make your own independent judgment about whether to provide services to a Learner, receive services from a Mentor, and generally engage with other Users. We disclaim all liability in relation to the separate contract between you and another User.

All Sessions and Credential Support are to be scheduled within the Leapfrog platform. It is a breach of the terms of service for Mentors or Learners to suggest making or receiving a payment outside of the Leapfrog platform for services rendered and connections established via the Leapfrog platform.

Section 5: Registering An Account

To access the Leapfrog Platform, we require that you register an account with us. To register for an account, you must provide your name, email address and create a unique password. Alternatively, you may choose to link your Google account to the Leapfrog Platform, which will share any contact, location and image data with us that is stored in that account.

As a Mentor you must also provide an image of yourself, your CV and your current work email address for verification. You may choose to provide further details about yourself such as occupation, qualifications and skills, details of your current role and employer, a link to your LinkedIn profile or other social media accounts, and a username.

As a Learner you may choose to provide your occupation, qualifications, career goals and details of your current role and employer, an image of yourself, your CV and/or job history, a link to your LinkedIn profile or other social media accounts, and a username.

We will only ever use your data in accordance with our Privacy Policy.

You must provide accurate and up-to-date information when advertising yourself on the Leapfrog Platform. Providing false information to us or impersonating another individual may result in the suspension or termination of your account. You must notify us if there is any change in your contact information, so that we can keep our records up to date and maintain the security of our communications to you. We are not responsible for any loss resulting from your failure to provide and maintain accurate contact information on your account.

An individual can only create one account with us. You should not create, or attempt to create, multiple accounts on the Leapfrog Platform. We may refuse your account registration or terminate your account where we suspect you already have an account with us.

You must not reveal or share your login details with anyone else. You should keep these details safe and take all reasonable steps to prevent any unauthorised use of them. If your login details are lost or stolen, or you believe that someone else may know your login details, you should change your password and tell us immediately.

We may ask you to, or we ourselves may, change your login details at any time and for any reason, for example for security or technical reasons.

You can delete your account at any point as set out in Section 10. We may delete your account if you are participating in fraud, illegal activity, or a breach of these Terms (in accordance with Section 10 below).

Section 6: Availability Of The Leapfrog Platform

As with any service over the internet, there are factors over which we have no control, for which we cannot accept liability. We do not guarantee that your use of the Leapfrog Platform will be uninterrupted or error-free, or free from any viruses, worms, trojan horses or bugs. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Leapfrog Platform or any content on it, whether expressed or implied.

We may suspend, withdraw or restrict the availability of all or any part of the Leapfrog Platform where we consider that this is necessary for maintenance or any other business or operational reasons without any prior notice or liability to you.

Section 7: Updates To The Leapfrog Platform

We may update the Leapfrog Platform and change the functionality of the Leapfrog Platform from time to time to improve performance, enhance, change or remove functionality or features, reflect changes to our Users' needs or our business priorities, or to address security issues.

We reserve the right at any time to modify or discontinue any part or content of our services without notice at any time. Any new features or tools which may be added to our website are also subject to these Terms.

Section 8: Changes To These Terms

We may amend these Terms from time to time, for example, to reflect changes in law or the functionality of the Leapfrog Platform. We will notify you of any changes to these Terms in advance via push notifications or any other manner we deem appropriate. Your continued use of the Leapfrog Platform will confirm your acceptance of the revised Terms. Please check the Terms whenever you use the Leapfrog Platform to ensure you are aware of the Terms that apply at that time.

Section 9: Intellectual Property Rights

All intellectual property rights throughout the world in the Leapfrog Platform and any related content (including the website design, text, logos, graphics, the selection and arrangement thereof, software compilations, underlying source code and software) belong to us or our licensors and the rights in the Leapfrog Platform are licenced, not sold, to you. You have no intellectual property rights in, or to, the Leapfrog Platform other than the right to use it in accordance with the Terms.

You must not remove, alter, or obscure any copyright, trade mark or other proprietary notices appearing in or on the Leapfrog Platform, or use the Leapfrog Platform in any way which infringes our copyrights or other intellectual property rights or those of any third party.

You retain your rights to any information, data or other content you submit, post and display, on or through the Leapfrog Platform (the "Content"). You agree that you have, or have obtained, all licences, consents, permissions, rights and/or authority necessary to submit, post or display such Content on or through the Leapfrog Platform, and we shall not be liable for this Content.

By submitting, posting or displaying Content on or through the Leapfrog Platform, you grant us a worldwide, non-exclusive, royalty-free licence (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods now known or later developed (for clarity, these rights include, for example, curating, transforming, promoting and translating).

This licence authorises us to make your Content available to the rest of the world and to let others do the same. You agree that this licence includes the right for us to use the Content to provide, promote, and/or improve the Leapfrog Platform with no obligation to pay compensation to you (the use of the Leapfrog Platform by you is hereby agreed as being sufficient compensation for the grant of such rights).

Section 10: Deleting Your Account

We reserve the right at any time to terminate your agreement with us and your use of the Leapfrog Platform, with or without cause. This includes deleting your account. We may do this:

  • if you have (or we suspect you have or will) use the Leapfrog Platform in a manner that is deemed by us to be contrary to these Terms or fraudulent;
  • in accordance with our Session and Credential Support Policy;
  • if you or your use of the Leapfrog Platform as a Mentor is in breach of our Mentor Code of Conduct; or
  • if we stop providing the Leapfrog Platform.

If we do decide to terminate your use of the Leapfrog Platform, we will use reasonable efforts to notify you before we do this.

Where we have terminated your use of the Leapfrog Platform and/or deleted your account, you must stop all activities authorised by these Terms, including your use of the Leapfrog Platform.

If you want to delete your account at any point, you can do so by emailing us.

Section 11: Limitation Of Liability

Please read the provisions of this section carefully as they exclude or limit our liability for any losses suffered by you in connection with your use of the Leapfrog Platform.

If you are using the Leapfrog Platform as a consumer, please note that we only provide our Leapfrog Platform for private use. You agree not to use our Leapfrog Platform for any commercial or business purposes and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. Nor will we have any liability for events beyond our reasonable control, provided that we will contact you as soon as possible to let you know if there is a problem and we will take steps to minimise the impact where possible. Generally, you will be a consumer if you are using the Leapfrog Platform as a Learner.

If you are using the Leapfrog Platform as a business user, we exclude all implied conditions, warranties, representations or other terms that may apply to our Leapfrog Platform or any content on it. We will have no liability to you under these Terms for any:

  • loss of profit, sales, business, or revenue;
  • loss of opportunity, goodwill or reputation;
  • loss of business or business interruption;
  • use of, or inability to use, our site;
  • use of or reliance on any content displayed on our site;
  • consequential or indirect losses; or
  • any loss or damage that you suffer as a result of any computer viruses, Trojan horses, worms, software bombs or other damaging items resulting from your use of our Leapfrog Platform.

Generally, you will be a business user if you are a Mentor using the Leapfrog Platform for purposes relating to your trade, business or profession.

In either case, we do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Other than as set out in these Terms, all warranties, representations, conditions, terms, undertakings or obligations whether express or implied and including any implied terms relating to quality, fitness for any particular purpose, ability to achieve a particular result or that information is accurate, complete or up to date are excluded to the fullest extent allowed by applicable law.

We will not have any liability for events beyond our reasonable control, provided that we will contact you as soon as possible to let you know if there is a problem and we will take steps to minimise the impact where possible.

We shall only be responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or our negligence. Loss or damage is foreseeable if it is an obvious consequence of our breach or if they were contemplated by you and us at the time you accepted these Terms.

Except for any liability that we cannot legally exclude or limit, our total aggregate liability for any losses or damage suffered by you in connection with the Leapfrog Platform or these Terms will be limited to the greater of: (a) HKD$1,000, or (b) a sum equal to the total amount of Commission paid to us in respect of your use of the Leapfrog Platform in the period of 12 months preceding the date that the loss occurred.

This Section shall survive the termination or expiry of these Terms or our relationship with you.

Section 12: Law And Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of Hong Kong, without giving effect to any principles of conflicts of law, and you agree that any dispute or claim arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of Hong Kong.

You are responsible for compliance with any applicable laws of the country from which you are accessing the Leapfrog Platform.

We reserve the right to refuse or restrict services to anyone or to any jurisdiction for any reason at any time.

Section 13: General

Each of the paragraphs of these Terms operates separately. If for any reason any part of these Terms is deemed to be unenforceable then the validity of the remaining Terms shall not be affected and shall remain in full force and effect.

All disclaimers, terms, conditions as set out in the Leapfrog Platform, the Session and Credential Support Policy, the Mentor Code of Conduct, and the Privacy Policy shall form part of these Terms. These Terms constitute the whole agreement and understanding between you and us in relation to the use of our Leapfrog Platform, which supersedes any prior written or oral agreements between you and us (including earlier versions of the terms). Except in case of fraud, all previous agreements, understandings, undertakings, representations, warranties, promises and arrangements between you and us relating to the subject matter of these Terms or your use of our Leapfrog Platform are superseded, except as otherwise expressly stated in these Terms.

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will use reasonable endeavours to ensure that the transfer will not affect your rights under these Terms. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

You agree that any notices and other communication may be given by us by email and this will comply with any legal requirement for such communications to be in writing.

Section 14: Defamatory Reviews

We reserve the right to remove reviews that do not meet minimum quality standards, including, but not limited to, those that have been copied from other sources, include defamatory comments, or indicate a punitive nature and intent.

Section 15: Indemnification

You agree to indemnify, defend and hold us and our affiliates, and their officers, directors, service providers, contractors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (1) your access to or use of our website, its content and services; (2) your violation of these Terms; (3) Any comments or information posted by you; (4) your interaction with any third parties or individuals arising from use of our services; (5) reliance on any material obtained from or via our services.

Section 16: Links with Third Parties

Where we cooperate or actively promote a third party, we will stipulate this clearly on our website.

Certain content and services available via our website may include material from third-parties. We are not responsible for monitoring or evaluating the content of such third party websites and do not undertake any responsibility for any third-party materials, websites or links to not affiliated third parties.

We may offer you access to third-party tools, any use by you of such tools is entirely at your own risk and we shall have no liability whatsoever arising from or relating to your use of them.

We are not liable for any harm or damages related to the use of services, resources, content, or any other transactions. Any complaints related to third party services must be directed to the relevant third party. If you deem that the third party has not responded to you in a timely or fair manner, then please contact us.

Section 17: Virtual Meeting Software

The Leapfrog Platform provides access to third-party virtual meeting software for Users to conduct Sessions. Any use by you of such software is entirely at your own risk and we shall have no liability whatsoever arising from or relating to your use of them.

A User must conduct a Session through the third-party virtual meeting software provided by the Leapfrog Platform. We disclaim all liability for any sessions conducted by Users either face to face or through virtual meeting software not provided on the Leapfrog Platform.
